Our Services are intended for individual travelers and authorized agents only. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4.1 Account Registration

To access certain features of our Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Account Verification

We may require additional verification information to comply with regulatory requirements or to prevent fraud. This may include identity verification, address confirmation, or other documentation as required by law.

4.3 Account Security

You are responsible for maintaining the security of your account and password. You must immediately notify us of any unauthorized access to your account. We will not be liable for any losses resulting from unauthorized use of your account.

4.4 Account Suspension

We reserve the right to suspend or terminate your account at our discretion if we suspect fraud, illegal activity, or violation of these Terms. Account termination may result in the loss of access to your data and services.

5.1 Accurate Information

You are responsible for providing accurate, complete, and up-to-date information in all interactions with our Services. This includes personal information, travel details, document uploads, and payment information.

5.2 Lawful Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use our Services for any illegal, fraudulent, or unauthorized purpose.

5.3 Document Authenticity

You are responsible for ensuring that all documents uploaded to our platform are authentic, valid, and not forged or altered. You acknowledge that submission of false documents may result in legal consequences.

5.4 Compliance with Laws

You agree to comply with all applicable local, national, and international laws and regulations in your use of our Services, including immigration laws, data protection regulations, and financial regulations.

6.1 Service Fees

Our Services are provided for the fees specified on our platform. All fees are quoted in Nigerian Naira (NGN) and may be displayed in other currencies for convenience using current exchange rates.

6.2 Payment Processing

Payments are processed through certified payment gateways including Flutterwave and Paystack. We do not store your payment card information on our servers.

6.3 Currency Conversion

Currency conversion rates are provided for informational purposes and may fluctuate. The final amount charged to your payment method will be determined by your card issuer or payment processor.

6.4 Tax Obligations

You are responsible for any applicable taxes on the services you purchase. We may collect and remit taxes as required by applicable law.

7.1 Credit System

We operate a prepaid credit system where users can deposit funds to their VisaPadi account for use in purchasing our services. Credits are service-specific and cannot be withdrawn as cash.

7.2 Non-Withdrawal Policy

Credits deposited to your VisaPadi account are strictly for the purchase of our services and cannot be withdrawn or transferred as cash value. This is not a banking or wallet service.

7.3 Credit Expiration

Credits do not expire but may be forfeited if your account is suspended or terminated for violation of these Terms.

7.4 Credit Refunds

Unused credits may be refunded in accordance with our Refund Policy, subject to applicable fees and processing times.

8.1 Refund Eligibility

Refunds may be available in the following circumstances:

• Visa application denial due to our error or system failure
• Duplicate or erroneous charges
• Services not provided due to technical issues on our end
• Cancellation within the cooling-off period (if applicable)

8.2 Non-Refundable Items

The following are generally not refundable:

• Embassy or consulate fees
• Service fees for completed applications
• Insurance premiums (subject to insurer's terms)
• Refund protection fees

8.3 Refund Process

Refunds are processed through the original payment method within 5-15 business days, depending on your payment provider's processing time. We reserve the right to deduct applicable processing fees.

9.1 Insurance Provider

Travel insurance offered through our platform is provided by Allianz Global Assistance, a licensed insurance company. All insurance policies are subject to Allianz's terms and conditions.

9.2 Insurance Terms

By purchasing insurance through our platform, you agree to be bound by Allianz's insurance policy terms, conditions, and exclusions. We act only as a facilitator and are not responsible for insurance claims or policy administration.

9.3 Claims Process

Insurance claims must be filed directly with Allianz according to their claims procedures. We may assist with initial claim submission but are not responsible for claim outcomes or processing.

10.1 API Access

Authorized users may access our API for integration purposes. API access is subject to approval and may be rate-limited to prevent abuse.

10.2 Acceptable Use

API usage must comply with these Terms and any additional API usage guidelines we provide. You must not use the API for any unlawful purpose or in a manner that could damage our systems.

10.3 No Resale

You may not resell, redistribute, or make our API services available to third parties without our express written consent.

11.1 Affiliate Program

We may offer an affiliate program for authorized agents and partners. Affiliates must comply with these Terms and any additional affiliate program terms.

11.2 Prepaid Credit System for Affiliates

Affiliates operate on a prepaid credit system. Credits are deposited to the affiliate account and consumed when services are used through the API or platform.

11.3 Reporting Requirements

Affiliates must maintain accurate records and provide reports as requested. We may audit affiliate accounts and activities to ensure compliance.

12.1 Our Ownership

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by VisaPadi or our licensors and are protected by copyright, trademark, and other intellectual property laws.

12.2 API Ownership

Our API and all related documentation are proprietary to VisaPadi. You may not reverse engineer, decompile, or attempt to derive the source code of our API or Services.

12.3 User Content

You retain ownership of content you upload to our platform, but you grant us a license to use, store, and process such content as necessary to provide our Services.

13.1 Suspension

We may suspend your access to our Services immediately if we suspect fraud, illegal activity, or violation of these Terms. During suspension, you may not access your account or use our Services.

13.2 Termination by Us

We may terminate your account and access to our Services at our discretion for any reason, including but not limited to violation of these Terms, fraudulent activity, or extended inactivity.

13.3 Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, your right to use our Services ceases immediately.

13.4 Effect of Termination

Upon termination, your account and access to Services will be deactivated. Data may be retained as required by law or for legitimate business purposes, subject to our Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VISAPADI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

14.1 Embassy Decisions

We are not responsible for embassy or consulate decisions regarding visa applications. Visa approval is at the sole discretion of the relevant immigration authorities.

14.2 Processing Delays

We are not liable for delays in visa processing caused by embassy backlogs, technical issues, or other factors beyond our reasonable control.

14.4 Third-Party Services

We are not responsible for the actions, omissions, or services provided by third parties, including payment processors, insurance companies, or government agencies.

You agree to indemnify, defend, and hold harmless VisaPadi, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any false, inaccurate, or misleading information you provide
• Any documents or information you upload to our platform
• Your violation of any applicable laws or regulations

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts in the Federal Capital Territory, Abuja, Nigeria.

17.1 Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services, the parties shall first attempt to resolve the matter through good faith negotiations.

17.2 Mediation

If negotiations fail, disputes may be submitted to mediation through a mutually agreed-upon mediator in Abuja, Nigeria.

17.3 Arbitration

Any disputes that cannot be resolved through negotiation or mediation shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004, with the seat of arbitration in Abuja, Nigeria.

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email (if you have an account)
• Post a notice on our website
• Provide in-app notifications where applicable

Your continued use of our Services after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our Services.

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government restrictions, strikes, or technical failures.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices published by us on our Services, constitute the entire agreement between you and VisaPadi concerning our Services and supersede all prior agreements.
